These Terms of Service ("Terms") govern your access to and use of the website located at www.imadriglobal.com (the "Site") and the services, products, and programs offered by IMADRI Global Mediation, LLC ("IMADRI," "we," "us," or "our"). By accessing the Site, purchasing any product, registering for any event, or submitting any inquiry or intake form, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
1. About IMADRI
IMADRI Global Mediation, LLC is a Delaware limited liability company operating as an international mediation and alternative dispute resolution institute. IMADRI's principal office is located in Miami, Florida, United States. IMADRI operates a Principal African Office in Cape Town, South Africa (opening June 2026).
IMADRI is a mediation institute. It is not a law firm and does not provide legal advice or legal representation. Nothing on this Site, in any IMADRI publication, or in any IMADRI program or service constitutes legal advice or creates an attorney-client relationship. IMADRI's founder and principal mediator is a trained mediator and is not acting as your attorney in any IMADRI engagement.
2. Eligibility
You must be at least 18 years of age to use the Site, purchase any product, or register for any event or program. By using the Site, you represent that you meet this requirement. IMADRI's services are available to individuals, businesses, law firms, NGOs, and other organizations worldwide, subject to applicable law.
3. Products and Digital Downloads
3.1 The IMADRI Field Guide
IMADRI offers a downloadable PDF publication titled "The IMADRI Field Guide to Culturally Matched Mediation™" (the "Field Guide") for purchase at $10.00 USD. Upon successful payment, you will receive a link to download the Field Guide in PDF format. The download link is personal to the email address provided at checkout and is not transferable.
The Field Guide is licensed to you for personal and professional use. You may not reproduce, distribute, resell, sublicense, or publish the Field Guide in any form without IMADRI's prior written consent. Institutional or bulk licensing is available — contact [email protected].
3.2 Webinars and Educational Events
IMADRI offers paid live webinar sessions conducted via Zoom ("Webinars"). Registration fees are stated on the applicable event page at the time of registration. By registering, you are purchasing a seat in a specific, scheduled live session. Webinars are not recorded and are not available for replay. A certificate of attendance is issued to all attendees by email within 48 hours of the session.
CLE credit availability is noted on individual event pages where applicable. IMADRI makes no guarantee of CLE credit approval in any jurisdiction. Where CLE credit has not been confirmed at the time of registration, the event page will state that credit is pending application.
3.3 Mediation and Professional Services
IMADRI's mediation and dispute resolution services are governed by separate engagement agreements executed between IMADRI and each client or party. These Terms do not constitute an engagement agreement and do not create any obligation on IMADRI's part to provide mediation or professional services. Services are subject to availability, IMADRI's intake review, and the execution of a written engagement agreement.
4. Payments and Stripe
All payments on this Site are processed by Stripe, Inc., a third-party payment processor. IMADRI does not collect, store, or have access to your full payment card details. By completing a purchase, you also agree to Stripe's Terms of Service and Privacy Policy, available at stripe.com/legal.
All prices are stated in United States Dollars (USD) unless otherwise noted. International buyers are responsible for any currency conversion fees charged by their bank or card issuer. Applicable taxes are the responsibility of the purchaser in accordance with the laws of their jurisdiction.
5. Refund Policy
5.1 Digital Downloads
Because digital products are delivered immediately upon purchase, all sales of the Field Guide and other digital downloads are final. No refunds are available once the download link has been delivered to the email address provided at checkout. If you did not receive your download link, or if the file is corrupted or inaccessible, contact [email protected] within 7 days of purchase and we will resolve the issue promptly.
5.2 Webinars and Live Events
Registrations for Webinars may be cancelled and refunded in full if the cancellation request is received at least 7 calendar days before the scheduled session date. Cancellation requests received fewer than 7 days before the session are not eligible for refund but may, at IMADRI's discretion, be transferred to a future equivalent session. To request a cancellation or transfer, contact [email protected] with your name, email address, and the session you registered for.
If IMADRI cancels a scheduled Webinar for any reason, all registered attendees will receive a full refund to their original payment method within 7 business days.
5.3 Professional Services
Fees for mediation and professional services engagements are governed by the applicable engagement agreement and are not subject to these Terms.
6. Intellectual Property
All content on this Site — including text, graphics, logos, the IMADRI name, the IMADRI icon mark, and the phrase Culturally Matched Mediation™ — is the property of IMADRI Global Mediation, LLC or its content contributors and is protected by applicable copyright, trademark, and intellectual property laws.
Culturally Matched Mediation™ is a trademark of IMADRI Global Mediation, LLC. Unauthorized use of this mark or any IMADRI intellectual property is prohibited.
You may share links to Site content for non-commercial purposes with appropriate attribution. You may not reproduce, republish, scrape, frame, or commercially exploit any Site content without prior written permission.
7. Confidentiality of Mediation
All mediation and dispute resolution services conducted by IMADRI are subject to strict mediator confidentiality obligations under applicable law and IMADRI's professional standards. The submission of an intake form or inquiry through this Site does not itself create a formal mediation engagement, but all information submitted is treated as confidential by IMADRI from the moment of receipt.
Nothing submitted through any IMADRI intake form, contact form, or inquiry channel will be disclosed to any third party without your consent, except as required by law.
8. Disclaimer of Warranties
The Site and all content, products, and services provided through it are offered on an "as is" and "as available" basis. IMADRI makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any content on the Site or any product or service offered. IMADRI does not warrant that the Site will be available without interruption or error, or that any defects will be corrected.
To the fullest extent permitted by applicable law, IMADRI disclaims all warranties, whether statutory, express, or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
9. Limitation of Liability
To the fullest extent permitted by applicable law, IMADRI, its members, officers, employees, affiliates, contractors, and agents shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or related to your use of the Site or any product or service purchased through it, even if IMADRI has been advised of the possibility of such damages.
IMADRI's total liability to you for any claim arising from or related to your use of the Site or any product or service purchased through it shall not exceed the amount you paid to IMADRI in the 12 months preceding the claim.
Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply to the greatest extent permitted by law.
10. Third-Party Links and Services
The Site may contain links to third-party websites, institutions, and organizations. These links are provided for informational purposes only. IMADRI does not endorse, control, or assume responsibility for any third-party website or its content, products, or services. Your use of any third-party website is governed by that website's own terms and privacy policy.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute arising from or related to these Terms or your use of the Site that cannot be resolved informally shall be submitted to binding mediation before IMADRI or a mutually agreed neutral mediator, followed by binding arbitration in Miami, Florida under the rules of the American Arbitration Association if mediation does not resolve the matter within 60 days. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
You agree that any claim arising from your use of the Site or purchase of any product must be brought within one (1) year of the date the claim arises, or it is permanently barred.
International users: These Terms do not limit any rights you may have under the mandatory consumer protection laws of your country of residence. Where such mandatory laws apply and conflict with these Terms, those laws prevail to the extent of the conflict.
12. Changes to These Terms
IMADRI reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site following any change constitutes acceptance of the revised Terms. We will make reasonable efforts to notify registered users of material changes by email.
